The association bears the name &#8220;H\u00e4nde f\u00fcr Kambodscha&#8221; (Hands for Cambodia).<br \/>\n2. The association has its registered office in Munich.<br \/>\n3. The financial year is the calendar year.<br \/>\n\u00a7 2 Purpose of the association<br \/>\n1. The purpose of the association is:<br \/>\na. the promotion of environmental protection (\u00a752 para. 2 sentence 1 no. 8 AO)<br \/>\nb. the promotion of internationalism, tolerance in all areas of<br \/>\nculture and the idea of international understanding (\u00a752 para. 2 sentence 1 no. 13 AO)<br \/>\nc. to promote public and vocational education (Section 52 (2) sentence 1 no. 7 AO)<br \/>\nd. the corporation pursues charitable purposes, the activities of which are aimed at<br \/>\nselflessly supporting persons<br \/>\nwho, as a result of their physical, mental or emotional condition, are<br \/>\ndependent on the help of others or (Section 53 (1) sentence 1 no. 1        AO)<br \/>\n&#8211; whose economic situation has become dire for special reasons<br \/>\n(Section 53 (1) sentence 1 no. 3 AO)<br \/>\n2. The association is primarily active in Cambodia, but may also become active in other<br \/>\ncountries with comparable needs.<br \/>\n3. The corporation directly pursues its tax-privileged statutory<br \/>\npurposes by realising these purposes itself. This can also be done through<br \/>\nauxiliary persons if, according to the circumstances of the case, in particular according to the<br \/>\nlegal and factual relationships that exist between the corporation and the<br \/>\nauxiliary person, the actions of the auxiliary person are to be regarded as the actions of the<br \/>\ncorporation itself. (Section 57 AO S1. No. 1)<br \/>\n4. The association pursues exclusively and directly charitable and benevolent<br \/>\npurposes within the meaning of the section &#8220;Tax-privileged purposes&#8221; of the German Tax Code<br \/>\n5. The association may also cooperate with other countries, e.g. by establishing<br \/>\nsister associations, to expand the procurement of funds for the purposes set out in the statutes<br \/>\n.     This cooperation is planned, for example, with Switzerland, so that a<br \/>\n(yet to be founded &#8220;sister&#8221; association) there can also raise funds for the same purposes<br \/>\nand make these funds, as well as selfless assistance, available to the association &#8220;Hands for<br \/>\nCambodia&#8221;.<br \/>\n6. The purpose of the statutes is realised in particular through<br \/>\na. The construction of toilets with separate sewage systems to protect the environment and<br \/>\ngroundwater. These toilets are usually (e.g. in<br \/>\nCambodia) also integrated into the natural environment by planting trees and shrubs,<br \/>\nthus also helping families to maintain their privacy when<br \/>\nusing the toilet.<br \/>\nb. The construction projects are carried out in consultation and cooperation with the<br \/>\nvillagers and families in need. The joint projects thus promote<br \/>\ninternational understanding, tolerance and international relations.<br \/>\nc. Popular and vocational education is promoted through the procurement of books and<br \/>\nschool materials.   Local schools are supported with construction projects and<br \/>\nfacilities such as libraries.<br \/>\nd. Charitable purposes are realised by the association&#8217;s organs<br \/>\nflying to the countries themselves to help build houses and toilets,<br \/>\ndig wells, plant trees, donate farm animals, etc.<br \/>\nHaving their own home helps people in need to ensure that<br \/>\nfuture floods no longer become an emergency. Without<br \/>\na permanent home, families have to seek shelter with neighbours<br \/>\nduring the monsoon season. Having their own home (the<br \/>\nassociation builds so-called &#8220;stilt houses&#8221;) also gives children in these families the opportunity to<br \/>\nschool and do their homework in peace.<br \/>\nThe preparation of the measures (e.g. selection of families in need<br \/>\nand those requiring assistance, purchase of building materials, local permits,<br \/>\nconsultation with families in the local language) is carried out with the help of<br \/>\nlocal aid organisations or local volunteers.<br \/>\nThe construction of the houses is carried out by local volunteers.   The<br \/>\nofficers of the association must pay for their own travel expenses, accommodation and meals.<br \/>\n7. The purpose of the statutes is realised, among other things, by the procurement of<br \/>\nfunds and their transfer to a (tax-privileged) corporation or<br \/>\nlegal entity under public law for the exclusive and direct<br \/>\nuse for its statutory tax-privileged purposes.<br \/>\n\u00a7 3 Selflessness<br \/>\n1. The association acts selflessly (\u00a755 AO) and does not primarily pursue<br \/>\nits own economic purposes.<br \/>\n2. The association&#8217;s funds may only be used for the purposes set out in the statutes<br \/>\n. Members shall not receive any payments from the association&#8217;s funds.<br \/>\n3. No person may benefit from expenses that are not related to the purpose of the association or<br \/>\nfrom disproportionately high remuneration.<br \/>\n\u00a7 4 Membership<br \/>\n1. Any natural or legal person who supports the objectives<br \/>\nof the association may become a member of the association.<br \/>\n2. Applications for membership must be submitted in writing to the executive committee. The<br \/>\nExecutive Board shall decide on admission.<br \/>\n3. Membership shall end upon resignation, expulsion or death (in the case of natural<br \/>\npersons) or dissolution (in the case of legal entities).<br \/>\n4. A member may be expelled if they grossly violate the<br \/>\ninterests of the Association. The Executive Board shall decide on expulsion after<br \/>\nhearing the member.<br \/>\n\u00a7 5 Contributions<br \/>\n1. The association may levy contributions.<br \/>\n2. The amount of the annual membership fees, sponsorship contributions, admission fees,<br \/>\nlevies, etc. shall be determined by the applicable fee regulations, which shall be decided upon by the<br \/>\ngeneral meeting.<br \/>\n\u00a7 6 Organs of the Association<br \/>\nThe organs of the Association are:<br \/>\n1. Executive Board: The Executive Board consists of three members, who are initially elected by the<br \/>\nfounding members.<br \/>\n2. Founding members: The founding members are the persons who were involved in the<br \/>\nfounding of the association and who have committed themselves to the minutes of the<br \/>\nfounding meeting.<br \/>\n3. General Meeting<br \/>\n\u00a7 7 General Meeting<br \/>\n1. The General Meeting is the highest body of the Association.<br \/>\n2. An ordinary general meeting shall be held at least once a year. It<br \/>\nshall be convened by the executive committee with at least two weeks&#8217; notice, stating the<br \/>\nagenda. Any member of the association may submit a written request to the executive committee for an addition to the<br \/>\nagenda at least one week before<br \/>\nthe general meeting.<br \/>\n3. The general meeting shall decide in particular on:<br \/>\no the future election and discharge of the executive committee,<br \/>\no the setting of membership fees,<br \/>\no amendments to the statutes,<br \/>\no the dissolution of the association.<br \/>\n4. Resolutions of the general meeting shall be passed by a simple majority of the<br \/>\nmembers present, unless otherwise specified in the Articles of Association.<br \/>\n5. All modern means of communication are available for invitations to general meetings, participation and voting.<br \/>\n6.<br \/>\n6. Participation and voting are possible in person, virtually or in a mixed (hybrid) format.<br \/>\n7.<br \/>\nMinutes shall be taken of the proceedings of the general meeting and the resolutions passed, and shall be signed by the minute-taker and the chair of the meeting.<br \/>\n8.<br \/>\nThe general meeting shall be chaired by the chair of the association or, in his\/her absence, by the deputy chair.<br \/>\n8. The Executive Board shall convene an extraordinary General Meeting if<br \/>\nit is in the interests of the association or if at least one tenth of the<br \/>\nmembers request this in writing, stating the purpose and reasons<br \/>\n\u00a7 8 Executive Committee<br \/>\n1. The Executive Committee consists of the chairperson, the deputy chairperson<br \/>\nand the treasurer.<br \/>\n2. The Executive Board is elected by the General Meeting for a term of two years.<br \/>\nRe-election is permitted.<br \/>\n3. The Executive Board of the Association is responsible for representing the Association in accordance with \u00a7 26 BGB (German Civil Code) and<br \/>\nmanaging its affairs.<br \/>\n\u00a7 9 Dissolution of the Association<br \/>\n1. The dissolution of the Association can only be decided upon in a General Meeting convened specifically for this purpose<br \/>\nwith a majority of three quarters of the members present<br \/>\nmembers present.<br \/>\n2. In the event of dissolution of the association or discontinuation of tax-privileged purposes, the<br \/>\nassets of the association shall fall to a legal entity under public law or another<br \/>\ntax-privileged corporation, which shall use them directly and exclusively for<br \/>\ncharitable purposes within the meaning of \u00a7 2 of these Articles of Association.<br \/>\nThe organisation shall be determined by the General Meeting. <\/p>\n","protected":false},"excerpt":{"rendered":"<p>Statutes of the association &#8220;H\u00e4nde f\u00fcr Kambodscha&#8221; (Hands for Cambodia) \u00a7 1 Name, registered office, financial year 1.
